  • Written Agreement: All services, deliverables, timelines, and obligations shall be governed strictly by a formal written agreement, work order, or contract executed between the Company and the client.
  • Defined Scope of Work: The scope of services shall be limited to what is explicitly mentioned in the agreed contract. Any assumptions outside the documented scope shall not be considered part of the Company’s obligations.

6. Construction Services

All construction activities, materials, timelines, and deliverables shall be governed strictly by the approved project plan and contractual documents. Any deviations, modifications, or additional requirements shall be treated as variations and will be subject to separate approval and cost implications.

  • Milestone-Based Payments: Payments shall be made strictly as per the agreed milestone schedule. The Company reserves the right to suspend or delay work in case of non-payment or delay in payments beyond the agreed terms.
  • Non-Refundable Nature: Payments made towards project initiation, mobilization, procurement of materials, or completed work stages are generally non-refundable, except where explicitly stated in the written agreement.
  • Project Timelines: While the Company strives to adhere to agreed timelines, delays may occur due to factors beyond reasonable control, including but not limited to weather conditions, labor availability, supply chain disruptions, regulatory approvals, or force majeure events. The Company shall not be held liable for such delays.

7. Telecom and Government Projects

All project execution, quality standards, timelines, and deliverables shall be governed by the approved scope of work, technical specifications, and compliance requirements as outlined in the contract documents.

  • Contract-Based Execution: All work shall be carried out strictly as per the agreed contract, including technical drawings, BOQs (Bill of Quantities), and instructions issued by the competent authority.
  • Measurement & Verification: Project measurements, quantities, and progress reports shall be recorded and submitted as per standard industry practices and contractual terms. The client or authorized representative is required to review and verify such measurements within the stipulated time period.
  • Deemed Acceptance: In the event that measurements or reports are not reviewed, disputed, or communicated within the specified timeframe, they shall be deemed to be accepted as final and binding for billing, certification, and record purposes.
  • Compliance & Approvals: The Company shall adhere to all applicable government regulations, safety norms, and project-specific compliance requirements. Necessary approvals, inspections, and certifications shall be conducted as per the governing authority's guidelines.
  • Coordination with Authorities: Execution of such projects may involve coordination with multiple stakeholders, including government departments, consultants, and third-party agencies, and timelines may be influenced accordingly.

8. Limitation of Liability

The Company shall not be held responsible for any indirect or consequential losses, including but not limited to loss of profits, loss of business opportunities, project delays, reputational damage, or any third-party claims arising from the use of our services or reliance on our deliverables.

Additionally, the Company shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, labor disputes, supply chain disruptions, or force majeure events.

The client agrees that these limitations of liability are reasonable and form an essential basis of the agreement between the client and the Company.

9. Termination

Ambrus Infratech Private Limited ("Company", "we", "us", or "our") reserves the right to suspend or terminate its services, in whole or in part, at its sole discretion, in the event of non-compliance with the agreed Terms & Conditions or any contractual obligations by the client.

Without limiting the generality of the above, the Company may terminate or suspend services under the following circumstances:

  • Non-Payment: Failure to make payments as per the agreed schedule or delay beyond the permissible period.
  • Breach of Terms: Violation of any terms, conditions, or obligations outlined in the agreement, including misuse of services or non-cooperation.
  • Operational Constraints: Situations where continuation of services becomes impractical due to legal, regulatory, or external factors beyond the Company’s control.

In the event of termination, the Company shall be entitled to recover all dues for services rendered, work completed, and costs incurred up to the date of termination.

Any payments made prior to termination, including advance payments, mobilization charges, or payments against completed milestones, shall generally be non-refundable unless explicitly stated otherwise in a written agreement.

Termination of services shall not affect any rights, obligations, or liabilities accrued by either party prior to such termination.

10. Confidentiality

Both parties agree to maintain strict confidentiality of all information, documents, data, and materials shared during the course of engagement between Ambrus Infratech Private Limited ("Company", "we", "us", or "our") and the client.

Confidential information shall include, but not be limited to, project details, technical specifications, drawings, financial information, business strategies, pricing, contracts, and any other proprietary or sensitive information disclosed in written, electronic, or verbal form.

  • Non-Disclosure Obligation: Both parties shall ensure that such confidential information is not disclosed, shared, or made accessible to any third party without prior written consent of the disclosing party.
  • Restricted Use: Confidential information shall be used solely for the purpose of fulfilling contractual obligations and shall not be used for any unauthorized or competitive purposes.
  • Legal Disclosure: Disclosure of confidential information may be permitted where required by law, regulation, court order, or government authority, provided that reasonable prior notice is given to the other party, wherever legally permissible.

11. Dispute Resolution

In the event of any dispute, claim, or difference arising out of or in connection with these Terms & Conditions or the services provided by Ambrus Infratech Private Limited ("Company", "we", "us", or "our"), both parties shall first attempt to resolve the matter amicably through mutual discussions and good faith negotiations.

If the dispute remains unresolved, the parties agree to explore resolution through mediation or arbitration in accordance with the applicable laws of India. The arbitration proceedings shall be conducted by a sole arbitrator mutually appointed by both parties, and the decision of the arbitrator shall be final and binding.

Subject to the above, any legal proceedings shall be subject to the jurisdiction of the competent courts located in Gwalior, Madhya Pradesh or Patna, Bihar, India.

12. General Provisions

These Terms & Conditions constitute the entire agreement between the user/client and the Company with respect to the subject matter herein and supersede all prior communications, discussions, or understandings, whether written or verbal.

  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue to remain in full force and effect.
